Intellectual Property, Trademark and Copyright Policy

1. Introduction

Welcome to MunchMakers' Intellectual Property Content Policy ("Policy"). This Policy governs the submission and use of materials on www.munchmakers.com and affiliated sites (collectively, the "Site"), operated by Green Lunar LLC, DBA MunchMakers ("MunchMakers," "we," "us," or "our").

By accessing or using the Site, you agree to be bound by this Policy and accept full responsibility for ensuring that all content you upload complies with these terms.

2. Definitions

"Designs": Any materials submitted by you to the Site, including but not limited to photographs, videos, images, text, graphics, and other content.
"MunchMakers Content": Graphics, photographs, images, layouts, templates, artwork, text, fonts, software tools, and other proprietary information owned or licensed by MunchMakers.
"Services": Products and services offered through the Site.

3. License Grant and Ownership

3.1 Your Ownership Rights

You retain full ownership of all Designs you submit to the Site.

3.2 License to MunchMakers

By submitting Designs, you grant MunchMakers and our designees:

A worldwide, non-exclusive, transferable, royalty-free, perpetual, and irrevocable license (with sublicense rights through multiple tiers) to:
- Use, reproduce, and distribute your Designs
- Create derivative works from your Designs
- Publicly display your Designs

This license applies solely for:

Production and provision of products or services you request
Demonstrating how your Designs would appear in our products or services
Order processing, packaging, and shipment

3.3 Marketing and Promotional Use

You additionally grant us a non-exclusive, worldwide, transferable, sublicensable right to use your Designs in:

Advertising and marketing materials
Sample products and promotional materials
Product displays and promotional streams on the Site
Third-party media placements (magazines, television, movies, etc.)
Third-party promotional feeds

4. Your Representations and Warranties

By submitting Designs, you represent and warrant that:

4.1 Ownership and Rights

You own or have obtained all necessary rights to the Designs
No outstanding disputes exist regarding any rights to the Designs

4.2 Non-Infringement

Your Designs do not and will not:

Infringe any copyright, trademark, trade secret, or other intellectual property rights
Violate any privacy or publicity rights
Contain fraudulent, threatening, abusive, libelous, defamatory, or obscene content
Violate any applicable laws or regulations

4.3 Model Releases and Consents

You have obtained written consent from every identifiable individual in your Designs
For individuals under 18 years of age, you have obtained written consent from their parent or guardian
You will provide copies of such consents upon our request
We recommend not including identifying information for minors in Designs

5. Content Review and Compliance

5.1 No Pre-Upload Review

MunchMakers does not review Designs before upload. You assume full responsibility for compliance with this Policy.

5.2 Order Review Rights

We reserve the right to:

Review any Design submitted with an order
Refuse to use any Design that violates this Policy
Suspend processing and shipping of related orders
Request written confirmation of your rights and permissions
Remove or deny access to non-compliant Designs
Suspend or terminate accounts for Policy violations

5.3 Disclosure Rights

We may disclose Designs and related information to third parties to:

Provide requested services
Enforce this Policy
Comply with legal obligations or governmental requests

6. Indemnification

You agree to indemnify, defend, and hold harmless MunchMakers, our directors, officers, employees, contractors, agents, representatives, affiliates, and third-party users from all claims, damages, losses, and expenses (including attorneys' fees) arising from:

Your violation of this Policy or any applicable law
Your Designs and their use
Activities related to your account or our services
Access to or use of your account by any person

7. MunchMakers Intellectual Property

7.1 Proprietary Rights

The Site and all MunchMakers Content are the copyrighted property of Green Lunar LLC and/or our licensors. All rights are reserved worldwide.

7.2 Restrictions

You may not retain, copy, distribute, publish, or use any MunchMakers Content except as expressly permitted in this Policy.

7.3 Modifications

We reserve the right to modify MunchMakers Content at any time without notice. All modifications remain our property.

8. Trademark Notice

All trademarks and service marks on the Site are property of their respective owners. Our trade names, trademarks, and service marks may not be used without our express written consent or in any manner likely to cause confusion.

9. Data Storage and Backup

9.1 Automatic Storage

All uploaded Designs are automatically stored by MunchMakers.

9.2 Removal Rights

We may remove Designs that violate this Policy but have no obligation to do so. We are not liable for the removal, non-removal, or loss of any Designs.

9.3 User Responsibility

We recommend maintaining backup copies of your Designs in your personal storage systems.

10. General Provisions

10.1 Policy Changes

We reserve the right to modify this Policy at any time without prior notice. Continued use of the Site constitutes acceptance of any changes.

10.2 Additional Terms

Additional guidelines, restrictions, or rules posted on specific sections of the Site are incorporated into this Policy by reference.
