Wholesale Terms and Conditions

These Wholesale Terms and Conditions ("Terms") govern all wholesale purchases from MunchMakers. By applying for a wholesale account or placing a wholesale order, you agree to these Terms.

Wholesale Account Requirements

Eligibility

To qualify for a wholesale account, you must:

  • Be a legally registered business
  • Provide valid business documentation (EIN/Tax ID)
  • Have a valid resale certificate
  • Maintain a physical or online retail presence
  • For cannabis businesses: provide state cannabis license

Application Process

  1. Complete online wholesale application
  2. Submit required documentation
  3. Allow 2-3 business days for review
  4. Receive approval notification via email
  5. Access wholesale pricing upon approval

Required Documentation

  • Business license or registration
  • Federal Tax ID (EIN) or SSN for sole proprietors
  • State resale certificate
  • Cannabis license (if applicable)
  • Trade references (may be requested)

Pricing and Payment Terms

Wholesale Pricing

  • Wholesale prices are typically 40-50% off retail
  • Pricing tiers based on order volume
  • Custom product pricing quoted separately
  • Prices subject to change with 30 days notice

Minimum Orders

  • Initial order: $250 minimum
  • Reorders: $150 minimum
  • Custom products: $500 minimum
  • Free shipping on orders over $500 (standard items only)

Payment Methods

  • Credit/debit cards (Visa, Mastercard, Amex, Discover)
  • ACH bank transfer (for established accounts)
  • Purchase orders (NET 30 for qualified accounts)
  • Prepayment required for first 3 orders

NET Terms

  • Available after credit approval
  • NET 30 standard (30 days from invoice date)
  • 2% late fee per month on overdue balances
  • Credit limits assigned based on credit evaluation

  • Stock items: 1-3 business days
  • Standard printing: 7-10 business days
  • Custom products: 2-4 weeks
  • Rush service available for additional fee

Shipping and Delivery

  • UPS Express (expedited options)
  • FedEx available upon request
  • Freight shipping for large orders

Shipping Costs

  • Calculated based on weight and destination
  • Free shipping on qualifying orders
  • Rush shipping at customer expense
  • International shipping not available

Delivery Terms

  • FOB shipping point (ownership transfers upon shipment)
  • Inspect shipments immediately upon receipt
  • Report damage within 48 hours
  • File carrier claims for shipping damage

Product Quality and Returns

Quality Standards

  • All products meet industry standards
  • Custom products made to approved specifications
  • Quality checks performed before shipping
  • Certificates of compliance available upon request

Return Policy

Eligible for Return (within 30 days):

  • Defective products
  • Incorrect items shipped
  • Damaged items (not shipping damage)
  • Stock overruns

Not Eligible for Return:

  • Custom printed products
  • Special order items
  • Products used or altered
  • Clearance/closeout items

Return Process

  1. Contact us within 30 days of receipt
  2. Obtain Return Merchandise Authorization (RMA)
  3. Ship items back in original condition
  4. Credit issued upon inspection
  5. Shipping costs for defects covered by MunchMakers

Custom Products

Design Services

  • Complimentary basic design assistance
  • Professional design services available
  • Customer retains ownership of custom designs
  • Stock designs available for modification

Approval Process

  • Digital proofs provided for approval
  • Changes allowed before approval
  • Production begins after signed approval
  • No changes after approval

Production Standards

  • Minimum quantities apply
  • Setup fees may apply
  • Exact color matching available (additional cost)
  • Samples available before full production

Resale Requirements

Authorized Resale

Wholesale customers may only:

  • Resell to end users in compliance with laws
  • Market products accurately
  • Maintain product quality
  • Follow MAP (Minimum Advertised Price) policy

Prohibited Actions

  • Selling on third-party marketplaces without approval
  • Misrepresenting products
  • Altering products without permission
  • Selling to minors

Intellectual Property

MunchMakers Property

  • Trademarks and logos remain our property
  • Marketing materials provided for authorized use
  • Use must cease upon account termination

Customer Property

  • Customer designs remain customer property
  • We maintain samples for quality control
  • Confidentiality maintained for custom designs

Account Management

Good Standing Requirements

  • Timely payment of all invoices
  • Minimum annual purchase of $1,000
  • Compliance with all terms
  • Current business documentation

Account Suspension/Termination

Accounts may be suspended for:

  • Overdue payments beyond 60 days
  • Violation of terms
  • Fraudulent activity
  • Legal compliance issues

Limitation of Liability

MunchMakers' liability is limited to:

  • Product purchase price
  • Replacement of defective goods
  • No consequential damages
  • No lost profit claims

Confidentiality

Both parties agree to maintain confidentiality of:

  • Pricing information
  • Customer lists
  • Trade secrets
  • Proprietary information

Dispute Resolution

Resolution Process

  1. Direct negotiation
  2. Mediation if needed
  3. Arbitration as final resort
  4. Delaware law governs

Compliance

Wholesale customers must:

  • Comply with all applicable laws
  • Maintain required licenses
  • Follow cannabis regulations
  • Ensure age verification

Modification of Terms

  • We may modify terms with 30 days notice
  • Continued purchases constitute acceptance
  • Current terms available on website
  • Major changes communicated via email

Severability

If any provision is unenforceable, remaining terms continue in effect.
